Agreement to Terms
By purchasing an NFT on the NFT page you agree to be bound by the Terms of this Agreement. If you do not want to be bound by these Terms, you are not authorized to purchase an NFT and should leave this Page immediately. Where benefits are made available to NFT holders by third-party companies, you may first be required to read and accept separate Terms of Service as stipulated by those third-party companies.

NFT Offering
Meta Mafioso is a collection of digital artworks (NFTs) running on the Ethereum network. The NFT collection is issued by Linkman Solutions Limited, a company registered in Hong Kong SAR.

The NFT page (metasignals.io/nft) is an interface allowing participants to purchase digital collectibles. These digital collectibles also act as a decentralized record of the purchase of a lifetime SaaS subscription to services offered by a third-party company. Users are entirely responsible for the safety and management of their own private Ethereum wallets and validating all transactions and contracts generated by the NFT page of this website before approval. As the Meta Mafioso NFT smart contract runs on the Ethereum network, there is no ability to undo, reverse, or restore any transactions (including accidental transactions).

The NFT page and its connected services are provided “as is” and “as available” without warranty of any kind. By using this page you are accepting sole responsibility for any and all transactions involving Meta Mafioso NFTs.

Who May Purchase a Meta Mafioso NFT?
(a) Eligibility. You may purchase a Meta Mafioso NFT only if you are at least 18 years old, capable of forming a binding contract with Linkman Solutions Limited, and not otherwise barred from making a purchase under applicable law or by these Terms.

(b) Compliance. The Meta Mafioso NFT is not available to natural and legal persons residing and/or registered in Hong Kong. Further, the NFT is only available to users in certain jurisdictions who can purchase the NFT as permitted under applicable law. In this respect, you certify that you will comply with all applicable laws (e.g., local, state, federal and other laws). Without limiting the foregoing, by purchasing an NFT, you represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo; (ii) you are not listed on any U.S. Government list of prohibited, sanctioned, or restricted parties; and (iii) you are not designated or specified under regulations made under the Sanctions and Anti-Money Laundering Act 2018 (Chapter 13) of the laws of England and Wales. You are solely responsible for ensuring that your access and use of the Services does not violate any applicable law.

You must not use any software or networking techniques, including use of a Virtual Private Network (VPN) to modify your internet protocol address or otherwise circumvent or attempt to circumvent this prohibition. Without limiting the foregoing, if the purchase of the NFT in your jurisdiction or residence or domicile is prohibited by applicable law, you are not permitted to complete the purchase. We reserve the right, but have no obligation, to monitor the locations from which you access the NFT purchase page. Furthermore, we reserve the right, at any time, in our sole discretion, to block access to the page, in whole or in part, from any geographic location, IP addresses, and unique device identifiers, or to any user who we believe is in breach of these Terms.

(c) No expectation of profit. In purchasing a Meta Mafioso NFT you certify that you have no expectation of profits from any appreciation in its value.

Ownership
A. Each Meta Mafioso NFT constitutes a unique ownership record of a digital collectible on the Ethereum blockchain and represents a creative and original artwork. When you purchase an NFT, you own the artwork completely. Ownership of the NFT is mediated entirely by the Smart Contract and the Ethereum Network: at no point may we seize, freeze, or otherwise modify the ownership of Meta Mafioso NFT.

B. Personal Use. Subject to your continued compliance with these Terms, Linkman Solutions Limited grants you a worldwide, royalty-free license to use, copy, and display the NFT solely for the following purposes: (i) for your own personal, non-commercial use; (ii) as part of a marketplace that permits the purchase and sale of your NFT.

C. Other than the rights to the art, nothing herein gives you any rights to any other trademarks or other intellectual property rights without limitation.

D. Lockup period. During the initial 180-day post-mint period all NFTs are non-transferrable. The lock on transfers will be lifted following a majority vote of holders held six months after the final NFT in the collection is minted. The vote details will be communicated to holders via the X account @metasignals. Should the majority vote neigh, the voting process will be repeated every 90 days. If at any time the majority vote yes, no further votes will be held.

Fees and Payment
A. If you elect to purchase a Meta Mafioso NFT through the NFT page, any financial transactions that you engage in will be conducted solely through the Ethereum network. We will have no insight into or control over these payments or transactions, nor do we have the ability to reverse any transactions. We will have no liability to you or to any third party for any claims or damages that may arise as a result of any transactions that you engage or any other transactions that you conduct via the Ethereum network and for any claims or damages that may arise as a result of any technical issues, inconsistencies and failures with the Ethereum network.

B. Ethereum requires the payment of a transaction fee (a “Gas Fee”) for every transaction that occurs on the Ethereum network. The Gas Fee funds the network of computers that run the decentralized Ethereum network. This means that you will need to pay a Gas Fee for each transaction.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR ACCESS TO AND USE OF THE NFT PAGE IS AT YOUR SOLE RISK, AND THAT THE NFT PAGE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE MAKE NO EXPRESS WARRANTIES AND HEREBY DISCLAIM ALL IMPLIED WARRANTIES REGARDING THE NFT PAGE AND ANY PART OF IT (INCLUDING, WITHOUT LIMITATION, THE NFT PAGE, ANY SMART CONTRACT, OR ANY EXTERNAL WEBNFT PAGES), INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, CORRECTNESS, ACCURACY, OR RELIABILITY. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE, OUR SUBSIDIARIES, AFFILIATES, AND LICENSORS DO NOT REPRESENT OR WARRANT TO YOU THAT: (I) YOUR ACCESS TO OR USE OF THE NFT PAGE WILL MEET YOUR REQUIREMENTS, (II) YOUR ACCESS TO OR USE OF THE NFT PAGE WILL BE UNINTERRUPTED, TIMELY, SECURE OR FREE FROM ERROR, (III) USAGE DATA PROVIDED THROUGH THE NFT PAGE WILL BE ACCURATE, (III) THE NFT PAGE OR ANY CONTENT, SERVICES, OR FEATURES MADE AVAILABLE ON OR THROUGH THE NFT PAGE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR (IV) THAT ANY DATA THAT YOU DISCLOSE WHEN YOU USE THE NFT PAGE WILL BE SECURE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES IN CONTRACTS WITH CONSUMERS, SO SOME OR ALL OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

B. YOU ACCEPT THE INHERENT SECURITY RISKS OF PROVIDING INFORMATION AND DEALING ONLINE OVER THE INTERNET, AND AGREE THAT WE HAVE NO LIABILITY OR RESPONSIBILITY FOR ANY BREACH OF SECURITY UNLESS IT IS DUE TO OUR WILLFULL MISCONDUCT.

C. WE WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSSES YOU INCUR AS THE RESULT OF YOUR USE OF THE ETHEREUM NETWORK NOR DO WE HAVE CONTROL OVER OR MAKE ANY GUARANTEES REGARDING ANY SMART CONTRACTS.

Limitation of Liability
At the time of the initial offering of the Meta Mafioso NFTs, via third-party companies, holders are granted access to various services outlined on the NFT page. Via multiple third-party companies, it is expected that NFT holders will gain access to additional services in the future. While Linkman Solutions Limited has every reason to believe that the items on the roadmap listed on the NFT Page will be completed as described and on time, Linkman Solutions Limited will not be held liable either in the event of delays or in the event of a complete failure of any third-party company to provide a given service.

Further, in relation to any and all current or planned services provided to holders of Meta Mafioso NFTs by third-party companies, you will indemnify and hold Linkman Solutions Limited, its affiliates, representatives, agents, licensors and service providers and their respective officers, directors, employees, and agents (collectively, the “Linkman Solutions Limited Parties”), harmless from and against any claims, disputes, demands, liabilities, damages, losses, costs, and expenses, including, without limitation, reasonable legal and accounting fees.

A. YOU UNDERSTAND AND AGREE THAT WE WILL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES WHICH YOU MAY INCUR, HOWSOEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, INCLUDING, WITHOUT LIMITATION, ANY LOSS OF PROFITS (WHETHER INCURRED DIRECTLY OR INDIRECTLY), LOSS OF GOODWILL OR BUSINESS REPUTATION, LOSS OF DATA, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR ANY OTHER INTANGIBLE LOSS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

B. YOU AGREE THAT OUR TOTAL, AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR ACCESS TO OR USE OF (OR YOUR INABILITY TO ACCESS OR USE) ANY PORTION OF THE NFT PAGE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, IS LIMITED TO THE AMOUNTS YOU ACTUALLY PAID US UNDER THESE TERMS IN THE 12 MONTH PERIOD PRECEDING THE DATE THE CLAIM AROSE.

C. YOU ACKNOWLEDGE AND AGREE THAT WE HAVE MADE THE NFT PAGE AVAILABLE TO YOU AND ENTERED INTO THESE TERMS IN RELIANCE UPON THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH HEREIN. WE WOULD NOT BE ABLE TO PROVIDE THE NFT PAGE TO YOU WITHOUT THESE LIMITATIONS.

Risk Assumption
You accept and acknowledge each of the following:

A. You have sufficient knowledge and understanding of material characteristics and application of blockchain technology and blockchain-based software systems, Ethereum network, NFTs and token storage mechanisms.

B. To the extent that you wish to sell your Meta Mafioso NFT, please be aware that NFT prices are subject to extreme volatility and may undergo the large fluctuations, NFTs are not legal tender and are not backed by any government. Given the volatility, NFTs should not be considered an investment. You assume all risks in that connection.

C. Ownership of a Meta Mafioso NFT confers ownership of digital artwork and access to a number of services offered by third-party companies. No information on this page is or may be considered to be advice or an invitation to enter into an agreement for any investment purpose. Further, nothing on this Page qualifies or is intended to be an offering of securities in any jurisdiction nor does it constitute an offer or an invitation to purchase shares, securities or other financial products. It remains your sole responsibility to assure that the purchase of the Meta Mafioso NFT is in compliance with laws and regulations in your jurisdiction.

D. Where bonus "perks" are offered by third-party companies, redemption is strictly one time only.

E. You assume all risks associated with using an Internet-based currency, including, but not limited to, the risk of hardware, software and Internet connections, the risk of malicious software introduction, and the risk that third parties may obtain unauthorized access to information stored within your wallet.

E. NFTs, cryptocurrencies and blockchain technology are relatively new and the regulatory landscape is unsettled. New regulations could adversely affect the use and development of such technologies impacting the value for your Meta Mafioso NFT. You understand and accept all risk in that regard.

F. You assume all responsibility for any adverse effects of disruptions or other issues impacting Ethereum or the Ethereum platform.

Indemnification
You agree to hold harmless and indemnify Linkman Solutions Limited and its subsidiaries, affiliates, officers, agents, employees, advertisers, licensors, suppliers or partners from and against any claim, liability, loss, damage (actual and consequential) of any kind or nature, suit, judgment, litigation cost, and reasonable attorneys' fees arising out of or in any way related to (i) your breach of these Terms, (ii) your misuse of the Page, or (iii) your violation of applicable laws, rules or regulations in connection with your access to or use of the Page.

Changes to the Terms of Service
We may make changes to the Terms at our discretion. Please check these Terms periodically for changes. Any changes to the Terms will apply on the date that they are made, and your continued access to or use after the Terms have been updated will constitute your binding acceptance of the updates. If you do not agree to any revised Terms, you may not access or use the Page.

Children
Our Page is not intended for children. You must be at least 18 years old to access this Page or purchase a Meta Mafioso NFT. If you are under 18 years old you are not permitted to use this Page for any reason. By accessing the Page, you represent and warrant that you are at least 18 years of age.

Governing Law
These Terms and any action related thereto will be governed by the laws of Hong Kong, without regard to its conflict of laws provisions.

Dispute Resolution; Arbitration
Any dispute, controversy, difference, or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof, or any dispute regarding non-contractual obligations arising out of or relating to the Terms, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”) under the HKIAC Administered Arbitration Rules in force when the notice of arbitration is submitted. The law of this arbitration clause shall be Hong Kong law. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one (1). The arbitration proceedings shall be conducted in English.

WITH RESPECT TO ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS: (I) YOU HEREBY EXPRESSLY GIVE UP YOUR RIGHT TO HAVE A TRIAL BY JURY; AND (II) YOU HEREBY EXPRESSLY GIVE UP YOUR RIGHT TO PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS IN ANY LAWSUIT, INCLUDING BUT NOT LIMITED TO CLASS ACTION LAWSUITS INVOLVING ANY SUCH DISPUTE.
